Terms of Service for Bad Command AI (Telepath)

Effective Date: January 26, 2026

1. Acceptance of Terms

By accessing or using the Telepath platform provided by Bad Command AI ("Company"), you agree to be bound by these Terms of Service.

2. Description of Service

Telepath is an infrastructure bridging service that connects SIP telecommunications traffic to third-party AI interfaces. We provide the "plumbing" (signaling and media handling) but do not generate the content.

3. Third-Party Services (Disclaimer)

Telepath acts solely as the technical bridge between your Telecommunication Carrier (e.g., Twilio, Telnyx) and your AI Provider (e.g., OpenAI, ElevenLabs).

• No Control: We do not govern, control, or assume liability for the data policies, uptime, or content generation of these third parties.
• AI Hallucinations: You acknowledge that AI Agents may generate incorrect, offensive, or hallucinated content. Telepath is not liable for any actions taken based on AI outputs.
• Independent Relationships: Your agreements with Carriers and AI Providers are separate from this Terms of Service.

4. Customer Responsibilities

You are responsible for:

• Compliance: Ensuring your use of the service complies with all applicable laws, including TCPA (Telephone Consumer Protection Act) and robotext/robocall regulations.
• Content: You serve as the "Sender" of all communications. Telepath relies on the "Safe Harbor" provisions for common carriers where applicable.
• Credentials: Securing your API keys and SIP credentials.

5. Payment and Capacity

• Capacity Tier: Service is billed based on "Concurrent Channel Capacity" (Telepath Pro/Enterprise) or provided gratuitously under the "Free Tier" limits.
• Overage/Throttle: If usage exceeds purchased capacity, Telepath reserves the right to reject (SIP 503) or throttle additional calls.

6. No Emergency Services (911)

Telepath is NOT a replacement for traditional telephone services.

• No 911 Access: The Service cannot connect to Emergency Services (911, 112, 999). You acknowledge that you must maintain a separate means for emergency calling.
• Health and Safety: You agree not to use AI Agents for life-critical applications (e.g., suicide helplines, dispatch) without human-in-the-loop redundancy.

7. Prohibited Use & High Risk Activities

Service may not be used for:

• Unsolicited marketing (Spam/Robocalls) in violation of TCPA/DNC lists.
• Operation of nuclear facilities, air traffic control, or life support systems.
• Impersonation or fraud.

8. Indemnification

You agree to indemnify and hold harmless Bad Command AI (Telepath) from any claims, damages, or legal fees arising from:

1. Content generated by your AI Agents.
2. Your violation of telemarketing laws (TCPA).
3. Any "Third-Party" claims regarding your bot's behavior.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAD COMMAND AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

IN NO EVENT SHALL BAD COMMAND AI'S AGGREGATE LIABILITY EXCEED THE AMOUNT PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM or $100.00, WHICHEVER IS GREATER.

10. Termination

We reserve the right to suspend or terminate your access to Telepath if:

• You use the service for illegal activities (e.g., harassment, fraud).
• Your payment is past due.
• You attempt to reverse-engineer the proprietary Telepath Engine.

11. Governing Law

These Terms shall be governed by the laws of the State of New Jersey, United States, without regard to its conflict of law provisions.
